RBI on the interim status of acceptances of the voluntary public tender
offer for all Addiko shares as of 3 June 2026

Vienna, 3 June 2026. On 14 May 2026, Raiffeisen Bank International AG
(RBI) published a voluntary public tender offer to acquire control
pursuant to Section 25a of the Austrian Takeover Act, addressed to the
shareholders of Addiko Bank AG (Addiko), for the acquisition of all issued
and outstanding no-par bearer shares of Addiko (ISIN AT000ADDIKO0) (the
“Offer”).

RBI hereby announces that, as of 3 June 2026, 9:00 a.m., it has received
declarations of acceptance relating to a total of 6,775,823 Addiko shares
corresponding to 34.75% of all issued Addiko shares.

This includes 1,878,167 Addiko shares held by Alta Group d.o.o.
corresponding to 9.63% of all issued Addiko shares.

The acceptance period for the Offer ends on 22 July 2026, 17:00 CEST.

Wien, 3. Juni 2026. Die Raiffeisen Bank International AG (RBI) hat am 14.
Mai 2026 ein freiwilliges öffentliches Übernahmeangebot zur
Kontrollerlangung gemäß § 25a Übernahmegesetz an die Aktionäre der Addiko
Bank AG (Addiko) zum Erwerb aller ausgegebenen und ausstehenden auf
Inhaber lautenden nennwertlosen Stückaktien der Addiko (ISIN AT000ADDIKO0)
veröffentlicht (das „Angebot“).

Die RBI gibt hiermit bekannt, dass ihr zum 3. Juni, 9:00 Uhr,
Annahmeerklärungen für insgesamt 6.775.823 Aktien der Addiko zugegangen
sind. Dies entspricht 34,75 Prozent aller ausgegebenen Addiko-Aktien.

Dies schließt 1.878.167 Addiko-Aktien mit ein, die von der Alta Group
d.o.o. gehalten werden und 9,63 Prozent aller ausgegebenen Addiko-Aktien
entsprechen.

Die Annahmefrist für das Angebot endet am 22. Juli 2026, 17:00 Uhr MESZ.

1. Presentation of the approved annual financial statements and management
report, the proposal with respect to the distribution of profits, the
consolidated financial statements and group management report (including
the consolidated sustainability report), the consolidated corporate
governance report, and the report of the Supervisory Board to the Annual
General Meeting on business year 2025/2026

2. Resolution on the allocation of the balance sheet profit for the
business year 2025/2026

3. Resolution on the discharge of the members of the Management Board for

4. Resolution on the discharge of the members of the Supervisory Board for
business year 2025/2026

III. RECORD DATE AND PREREQUISITES FOR PARTICIPATING IN THE ANNUAL GENERAL
MEETING

Eligibility to participate in the Annual General Meeting and to exercise
voting rights and other shareholder rights that apply to the Annual
General Meeting are based on the shareholding at the end of day on
June 21, 2026 (12:00 a.m.[midnight], CEST, local Vienna time) (record date
to provide proof of shareholding).

A person is only eligible to participate and exercise his/her shareholder
rights in the Annual General Meeting if he/she is a shareholder on this
record date and is able to supply sufficient proof of this status to the
Company.

Proof of share ownership on the record date must be provided by delivering
a deposit certificate in accordance with Sec. 10a AktG to the Company no
later than June 26, 2026 (12:00 a.m.[midnight], CEST, local Vienna time)
exclusively via one of the following communication channels and addresses:

Shareholders are requested to contact their depositary bank and arrange
for the issuance and transmission of a deposit confirmation.

The record date has no impact on the saleability of the shares and has no
bearing on dividend rights.

Deposit certificates in accordance with Sec. 10a AktG

The deposit certificate must be issued by a depositary bank domiciled in a
member state of the European Economic Area or a full member state of the
OECD and must contain the following information (Sec. 10a para. 2 AktG):

• Information on the issuer: company name and address or a code commonly
used in dealings between banks (SWIFT Code)
• Information on the shareholder: name/company name and address, in
addition date of birth for natural persons, and register and register
number, if applicable, for legal persons in the legal person’s country
of origin
• Information on the shares: Number of shares held by the shareholder,
ISIN AT0000937503 (internationally used security identification
number)
• Depot number, securities account number, or other identification
• Date or period referred to in the deposit certificate

The deposit certificate to verify the shareholding as the basis for
participation in the Annual General Meeting must relate to the
above-mentioned record date for the proof of shareholding, i.e., June 21,
2026 (12:00 a.m.[midnight], CEST, local Vienna time).

The deposit certificate will be accepted in German or English.

Proof of identity

voestalpine AG reserves the right to verify the identity of persons
attending the meeting. Entry may be denied if a person’s identity cannot
be verified.

Therefore, for identification purposes, shareholders and their proxies are
asked to be ready to show a valid official photo identification when
registering for the Annual General Meeting.

If you are attending the Annual General Meeting as a proxy, you are asked
to bring with you the power of attorney in addition to an official photo
ID. If the original of the proxy authorization has already been sent to
the Company, your entry will be facilitated by presenting a copy of the
proxy authorization.

If you represent a legal person in the Annual General Meeting as member of
an executive body, please provide proof, in addition to the official photo
ID, that you are entitled to represent the legal person individually
(Commercial Register extract, or in the case of collective representation
a proxy authorization bearing the signature of a person entered into the
Commercial Register as authorized to sign).

Guests

The Annual General Meeting is the key governing body of a stock
corporation as it is the forum for the Company’s owners – the
shareholders. We therefore hope you will appreciate that we cannot turn an
Annual General Meeting into an event for guests, much as we value such

IV. POSSIBILITY TO APPOINT A PROXY AND THE PROCEDURE TO BE FOLLOWED

Every shareholder who is entitled to participate in the Annual General
Meeting and has provided sufficient proof to the Company as described in
point III of this invitation is also entitled to appoint a representative,
who will participate in the Annual General Meeting on behalf of the
shareholder and who is vested with the same rights as the shareholder whom
he or she represents.

Proxy authorization must be granted to a specific person (natural person
or legal entity) in text form (Sec. 13 para. 2 AktG). It is also possible
to appoint several proxy holders.

The proxy can be appointed before or during the Annual General Meeting.

The proxies must be received by the Company no later than June 30, 2026,
at 4:00 p.m. (CEST, local Vienna time), exclusively at one of the
previously listed addresses, unless they are submitted at the entry or
exit check at the Annual General Meeting on the day of the Annual General
Meeting.

A form for the appointment (or revocation) of a proxy can be downloaded
from the Company’s website at [9] www.voestalpine.com no later than
June 10, 2026. In order to ensure problem-free processing, we request that
you only use the forms which have been made available.

Details on appointing a proxy, especially the text form and contents of
the proxy, are set out in the proxy authorization form made available to
shareholders.

If the shareholder has appointed the depositary bank (Sec. 10a AktG) as
her or his proxy, it will suffice if the depositary bank submits a
declaration, in addition to the deposit certificate, via the communication
channels stipulated for this purpose, stating that the depositary bank was
appointed to serve as the proxy.

After revoking a proxy authorization, shareholders may also attend the
Annual General Meeting and exercise their shareholder rights in person.
Personal attendance is considered to serve as a revocation of the proxy
authorization.

The rules indicated above with respect to proxy authorization apply
similarly to proxy cancellation.

It is not mandatory for shareholders who wish to appoint a representative
to appoint the independent voting proxy from the “Interessenverband für
Anleger” (Austrian Association of Investors, IVA), referred to in point V,
Florian Beckermann, Board Member of the IVA, as their representative.

V. OPTION TO APPOINT AN INDEPENDENT VOTING PROXY AND PROCEDURE TO BE
FOLLOWED

As a special service, a representative from IVA, Feldmühlgasse 22, 1130
Vienna, is available to shareholders as an independent voting proxy for
exercising voting rights in accordance with shareholder instructions at
the Annual General Meeting, and whose costs will be covered by the
company. IVA is currently planning to send Mr. Florian Beckermann, member
of the Management Board of IVA, to represent shareholders at this Annual
General Meeting.

A special proxy authorization form may be downloaded from the Company’s
website at [10]www.voestalpine.com and may only be delivered to the
Company (by fax, e-mail, regular mail, or courier service) at one of the
addresses for the delivery of proxy authorizations indicated above (see
IV. POSSIBILITY TO APPOINT A PROXY AND THE PROCEDURE TO BE FOLLOWED).

The proxies must be received by the Company no later than June 30, 2026,
at 4:00 p.m. (CEST, local Vienna time), at one of the addresses listed
above or under point IV (= POSSIBILITY TO APPOINT A PROXY AND THE
PROCEDURE TO BE FOLLOWED), unless they are submitted at the entry or exit
check at the Annual General Meeting on the day of the Annual General
Meeting.

The shareholder must issue instructions to the voting proxy as to how the
latter (or a sub-proxy authorized by him/her) must exercise the voting
rights. The independent voting proxy may only exercise voting rights based
on the instructions issued by the shareholder and only within the limits
of the voting instructions regarding the individual items of the agenda
issued by the shareholder. Without express instructions, there is no
assurance that the voting proxy can exercise voting rights. Please note
that the voting proxy will not accept instructions to request to speak,
raise objections to resolutions at the Annual General Meeting, ask
questions, or make motions.

After revoking a proxy authorization, shareholders may also attend the
Annual General Meeting and exercise their shareholder rights in person.
Personal attendance is considered to serve as a revocation of the proxy
authorization.

The rules indicated above with respect to proxy authorization apply
similarly to proxy revocation.

VI. INFORMATION ON THE RIGHTS OF SHAREHOLDERS AS DEFINED IN SECTIONS 109,
110, 118, AND 119 OF THE AUSTRIAN STOCK CORPORATION ACT (AKTG)

 1. Additions to the agenda pursuant to Sec. 109 AktG

Shareholders who collectively hold 5% of the share capital and owned the
shares for at least three months before making the request can make a
written demand for additional items to be placed on the agenda of this
Annual General Meeting and announced if the written request is sent
exclusively to the following address: 4020 Linz, voestalpine-Strasse 1,
attn. Mr. Christian Kaufmann, Legal, M&A, and Compliance, by regular mail
or courier service, or an e-mail with a qualified electronic signature is
sent to the e-mail address [12]christian.kaufmann@voestalpine.com, or a
SWIFT message is sent to the address CPTGDE5WXXX and is received by the
Company no later than June 10, 2026 (12:00 a.m. [midnight], CEST, local
Vienna time). “Written” means with a hand-written signature or an
authorized corporate signature from each requester or, for e-mails, with a
qualified electronic signature, or if sent by SWIFT, with message type
MT598 or MT599. ISIN AT0000937503 must be included in the text.

A proposed resolution and an explanatory statement must be attached to
every requested agenda item. The agenda item and the proposed resolution,
but not the explanatory statement, must be drafted in the German language.
If there is an inconsistency between the German text and the text in
another language, the German text takes precedence. Shareholder status
must be proven by submitting a deposit certificate in accordance with
Sec. 10a AktG, which confirms that the requesting shareholders owned the
shares for at least three months before making the request. The
certificate may not be more than seven days old at the time of its
submission to the Company. Multiple deposit certificates for shares that
only make up a 5% equity holding when aggregated must relate to the same
point in time (date, time of day).

Please refer to the section on the right to attend the Annual General
Meeting for information on the other requirements for the deposit
certificate (point III of this invitation).

 2. Resolutions proposed for the agenda pursuant to Sec. 110 AktG

Shareholders who collectively hold 1% of the share capital can send
proposed resolutions (with explanatory statements) for any item on the
agenda in text form and request that these proposals be made available on
the Company website registered in the Commercial Register, together with
the names of the respective shareholders, the attached explanatory
statement, and any comments by the Management Board or the Supervisory
Board, if the request in text form is sent to the Company no later than
June 22, 2026 (12:00 a.m.[midnight], CEST, local Vienna time) either by
fax to +43 (0) 50304 15 5872 or by regular mail or courier service to 4020
Linz, voestalpine-Strasse 1, attn. Dr. Christian Kaufmann, Legal, M&A, and
Compliance, or by e-mail to [13]christian.kaufmann@voestalpine.com, where
the request is to be attached to the e-mail in text form, for example as a
PDF. To the extent that text form within the meaning of Sec. 13
para. 2 AktG is prescribed for declarations, the declaration must be made
in a document or in any other manner suitable for permanent reproduction
in characters, the declarant must be identified, and the conclusion of the
declaration must be made evident by reproducing the declarant’s signature
or otherwise. The proposed resolution, but not the explanatory statement,
must be drafted in the German language. If there is an inconsistency
between the German text and the text in another language, the German text
takes precedence.

Shareholder status shall be proven by submitting a deposit certificate in
accordance with Sec. 10a AktG, which may be no more than seven days old at
the time of submission to the Company. Multiple deposit certificates for
shares that only make up a 1% equity holding when aggregated must relate
to the same point in time (date, time of day).

Please refer to the section on the right to attend the Annual General
Meeting for information on the other requirements for the deposit
certificate (point III of this invitation).

 3. The right of shareholders to obtain information pursuant to
Sec. 118 AktG

Every shareholder has the right to request and obtain information on any
matters pertaining to the Company during the Annual General Meeting,
provided that such information is needed to properly evaluate an agenda
item. This obligation to provide information also covers the Company’s
legal relations with an associated company as well as the status of the
Group and companies included in the consolidated financial statements.

Information may be denied if, based on the assessment of a prudent
businessman, it could cause significant detriment to the Company or an
affiliated company, or if provision of the information would be
punishable. Information may be also denied if it was continuously
available on the Company’s website in question-and-answer form for a
minimum of seven days before the start of the Annual General Meeting.

In accordance with Sec. 21 para. 3 of the Articles of Association, the
chairperson of the Annual General Meeting may set appropriate limits for
the time allotted to speakers and the time allotted for questions as well
as general limitations for speaking time and time for posing questions
during the Annual General Meeting.

Forms for submitting requests for information at the Annual General
Meeting will be provided at the upcoming Annual General Meeting. Each
shareholder is requested to write their questions legibly on the request
form, or to attach written questions to the request form, and to indicate
whether they would prefer to read out their questions themselves or to
have them read out. Shareholders who have submitted request forms and
indicated that they would like to read out their questions will be called
upon to do so during the general debate, and can use the microphone set up
in the hall for this purpose. The remaining questions will be read out.

Please note that appropriate time limits may be set by the Chairperson
during the Annual General Meeting.

To make efficient use of time during the Annual General Meeting, questions
whose answers require lengthy preparation should be submitted in text form
to the Management Board in timely fashion before the Annual General
Meeting. Such questions should be submitted to the Company by regular mail

 4. Motions by shareholders at the Annual General Meeting pursuant to
Sec. 119 AktG

Regardless of the number of shares held, every shareholder has the right
to make motions on any agenda item during the Annual General Meeting. If
several motions have been proposed for one item on the agenda, the
Chairman of the Annual General Meeting determines the order of voting
pursuant to Sec. 119 para. 3 AktG.

VII. FURTHER DISCLOSURES AND INFORMATION

 1. Total number of shares and voting rights

On the date the Annual General Meeting was convened, the Company had share
capital of EUR 324,391,840.99 divided into 178,549,163 no-par bearer
shares. Each share grants one vote. The company holds 7,098,547 shares.
The Company has no rights with respect to own shares. 8,975 shares were
declared invalid in accordance with Sec. 67 para. 2 in conjunction with
Sec. 262 para. 29 AktG, whereof 948 shares have not yet been submitted and
credited to a securities account. The total number of voting shares is
therefore 171,449,668 no-par bearer shares at the time of convocation.
There are no other classes of shares.

 2. Admission and registration

In order to avoid delays at the entrance checks, shareholders are asked to
present themselves at the site of the Annual General Meeting in due time
before its start. Admission for collection of voting cards commences at
9:00 a.m. (CEST, local Vienna time).

 

 3. Internet broadcast of part of the Annual General Meeting

It is planned to transmit a webcast of the Annual General Meeting up to
the start of the general debate.

Shareholders of the Company and the interested public may follow the
speech by the Chairman of the Management Board at the Annual General
Meeting on July 1, 2026, live on the Internet at [15]www.voestalpine.com
starting at approx. 10:00 a.m. (CEST, local Vienna time). No video or
audio broadcast of any other part of the Annual General Meeting will take
place.

 4. Data protection

The processing of personal data by voestalpine AG is absolutely necessary
for participation in the Annual General Meeting. Information on the
processing of personal data of participants of the Annual General Meeting
in accordance with the General Data Protection Regulation is available at

Wir laden hiermit unsere Aktionärinnen und Aktionäre ein zur

34. ordentlichen Hauptversammlung der voestalpine AG

am Mittwoch, dem 1. Juli 2026, um 10:00 Uhr (MESZ, Wiener Zeit),

im Design Center Linz, 4020 Linz, Europaplatz 1.

 

I. TAGESORDNUNG

1. Vorlage des festgestellten Jahresabschlusses samt Lagebericht, des
Vorschlages für die Gewinnverwendung, des Konzernabschlusses samt
Konzernlagebericht (einschließlich konsolidierter
Nachhaltigkeitsberichterstattung), des konsolidierten Corporate
Governance-Berichtes und des Berichtes des Aufsichtsrats an die
Hauptversammlung über das Geschäftsjahr 2025/2026

2. Beschlussfassung über die Verwendung des Bilanzgewinns des
Geschäftsjahres 2025/2026

3. Beschlussfassung über die Entlastung der Mitglieder des Vorstands für
das Geschäftsjahr 2025/2026

4. Beschlussfassung über die Entlastung der Mitglieder des Aufsichtsrats

Insbesondere die folgenden Unterlagen sind gemäß § 108 Abs 3 und 4 AktG
spätestens ab 10. Juni 2026 auf der Internetseite der Gesellschaft unter

• Jahresabschluss mit Lagebericht,
• Konsolidierter Corporate Governance-Bericht,
• Konzernabschluss mit Konzernlagebericht (einschließlich konsolidierter

jeweils für das Geschäftsjahr 2025/2026;

• Beschlussvorschläge zu den Tagesordnungspunkten 2. bis 7.,

• Formular für die Erteilung einer Vollmacht,
• Formular für die Erteilung einer Vollmacht und Weisung an den
unabhängigen Stimmrechtsvertreter,
• Formular für den Widerruf einer Vollmacht,
• vollständiger Text dieser Einberufung,
• Allgemeine Datenschutzerklärung für Teilnehmer:innen der
Hauptversammlung der voestalpine AG.

III. NACHWEISSTICHTAG UND VORAUSSETZUNGEN FÜR DIE TEILNAHME AN DER
HAUPTVERSAMMLUNG

Die Berechtigung zur Teilnahme an der Hauptversammlung und zur Ausübung
des Stimmrechts und der übrigen Aktionärsrechte, die im Rahmen der
Hauptversammlung geltend zu machen sind, richtet sich nach dem
Anteilsbesitz am Ende des 21. Juni 2026 (24:00 Uhr, MESZ, Wiener Zeit)
(Nachweisstichtag).

Zur Teilnahme an und zur Ausübung der Aktionärsrechte in dieser
Hauptversammlung ist nur berechtigt, wer an diesem Nachweisstichtag
Aktionär:in ist und dies der Gesellschaft nachweist.

Für den Nachweis des Anteilsbesitzes am Nachweisstichtag ist eine
Depotbestätigung gemäß § 10a AktG vorzulegen, die der Gesellschaft
spätestens am 26. Juni 2026 (24:00 Uhr, MESZ, Wiener Zeit) ausschließlich
auf einem der folgenden Kommunikationswege und Adressen zugehen muss:

Die Aktionär:innen werden gebeten, sich an ihr depotführendes
Kreditinstitut zu wenden und die Ausstellung und Übermittlung einer
Depotbestätigung zu veranlassen.

Der Nachweisstichtag hat keine Auswirkungen auf die Veräußerbarkeit der
Aktien und hat keine Bedeutung für die Dividendenberechtigung.

Depotbestätigung gemäß § 10a AktG

Die Depotbestätigung ist vom depotführenden Kreditinstitut mit Sitz in
einem Mitgliedstaat des Europäischen Wirtschaftsraums oder in einem
Vollmitgliedstaat der OECD auszustellen und hat folgende Angaben zu
enthalten (§ 10a Abs 2 AktG):

• Angaben über die:den Aussteller:in: Name/Firma und Anschrift oder
eines im Verkehr zwischen Kreditinstituten gebräuchlichen Codes
(SWIFT-Code),
• Angaben über die:den Aktionär:in: Name/Firma und Anschrift, bei
natürlichen Personen zusätzlich das Geburtsdatum, bei juristischen
Personen gegebenenfalls Register und Registernummer, unter der die
juristische Person in ihrem Herkunftsstaat geführt wird,
• Angaben über die Aktien: Anzahl der Aktien der:des
Aktionärin:Aktionärs, ISIN AT0000937503 (international gebräuchliche
Wertpapierkennnummer),
• Depotnummer, Wertpapierkontonummer bzw. eine sonstige Bezeichnung,
• Zeitpunkt oder Zeitraum, auf den sich die Depotbestätigung bezieht.

Die Depotbestätigung als Nachweis des Anteilsbesitzes zur Teilnahme an der
Hauptversammlung muss sich auf das Ende des Nachweisstichtages
21. Juni 2026 (24:00 Uhr, MESZ, Wiener Zeit) beziehen.

Die Depotbestätigung wird in deutscher Sprache oder in englischer Sprache
entgegengenommen.

Identitätsnachweis

voestalpine AG behält sich das Recht vor, die Identität der zur
Versammlung erscheinenden Personen festzustellen. Sollte eine
Identitätsfeststellung nicht möglich sein, kann der Einlass verweigert
werden.

Die Aktionär:innen und deren Bevollmächtigte werden daher ersucht, zur
Identifikation bei der Registrierung einen gültigen amtlichen
Lichtbildausweis bereit zu halten.

Wenn Sie als Bevollmächtigte:r zur Hauptversammlung erscheinen, nehmen Sie
zusätzlich zum amtlichen Lichtbildausweis bitte die Vollmacht mit. Falls
das Original der Vollmacht schon an die Gesellschaft übersandt worden ist,
wird der Zutritt erleichtert, wenn Sie eine Kopie der Vollmacht vorweisen.

Wenn Sie als Organ eine juristische Person in der Hauptversammlung
vertreten, nehmen Sie zusätzlich zum amtlichen Lichtbildausweis bitte
einen Nachweis mit, dass Sie die juristische Person einzeln zu vertreten
berechtigt sind (Firmenbuchauszug, bei Kollektivvertretung zusätzlich eine
von laut Firmenbuch zeichnungsberechtigten Personen unterfertigte
Vollmacht).

Gäste

Die Hauptversammlung ist das wesentliche Organ einer Aktiengesellschaft,
da es das Forum für die Eigentümer:innen der Gesellschaft – die
Aktionär:innen – ist. Wir bitten daher um Verständnis, dass wir aus einer
Hauptversammlung keine Veranstaltung für Gäste machen können, so sehr wir

IV. MÖGLICHKEIT ZUR BESTELLUNG EINES:R VERTRETERS:IN UND DAS DABEI
EINZUHALTENDE VERFAHREN

Jede:r Aktionär:in, die:der zur Teilnahme an der Hauptversammlung
berechtigt ist und dies der Gesellschaft gemäß den Festlegungen in dieser
Einberufung Punkt III. nachgewiesen hat, hat das Recht, eine:n
Vertreter:in zu bestellen, die:der im Namen der:s Aktionärs:in an der
Hauptversammlung teilnimmt und dieselben Rechte wie die:der Aktionär:in
hat, den sie:er vertritt.

Die Vollmacht muss einer bestimmten Person (einer natürlichen oder einer
juristischen Person) in Textform (§ 13 Abs 2 AktG) erteilt werden, wobei
auch mehrere Personen bevollmächtigt werden können.

Die Erteilung einer Vollmacht ist sowohl vor als auch während der
Hauptversammlung möglich.

Die Vollmachten müssen spätestens bis 30. Juni 2026, 16:00 Uhr (MESZ,
Wiener Zeit), bei einer der zuvor genannten Adressen eingehen, sofern sie
nicht am Tag der Hauptversammlung an der Ein- und Ausgangskontrolle der
Hauptversammlung übergeben werden.

Ein Vollmachtsformular und ein Formular für den Widerruf der Vollmacht
sind spätestens am 10. Juni 2026 auf der Internetseite der Gesellschaft
unter www.voestalpine.com abrufbar. Wir bitten im Interesse einer
reibungslosen Abwicklung stets die bereitgestellten Formulare zu
verwenden.

Einzelheiten zur Bevollmächtigung, insbesondere zur Textform und zum
Inhalt der Vollmacht, ergeben sich aus dem den Aktionär:innen zur
Verfügung gestellten Vollmachtsformular.

Hat die:der Aktionär:in ihrem:seinem depotführenden Kreditinstitut
(§ 10a AktG) Vollmacht erteilt, so genügt es, wenn dieses zusätzlich zur
Depotbestätigung, auf dem für dessen Übermittlung an die Gesellschaft
vorgesehenen Weg, die Erklärung abgibt, dass ihm Vollmacht erteilt wurde.

Aktionär:innen können auch nach Widerruf der Vollmachtserteilung die
Rechte in der Hauptversammlung persönlich wahrnehmen. Persönliches
Erscheinen gilt als Widerruf einer vorher erteilten Vollmacht.

Die vorstehenden Vorschriften über die Erteilung der Vollmacht gelten
sinngemäß für den Widerruf der Vollmacht.

Es ist nicht zwingend, dass Aktionär:innen, die eine:n Verteter:in
bevollmächtigen wollen, den unter Punkt V. genannten unabhängigen
Stimmrechtsvertreter vom Interessenverband für Anleger (IVA), Florian
Beckermann, Vorstandsmitglied des IVA, zum Vertreter bestellen.

 

 

V. MÖGLICHKEIT ZUR BESTELLUNG EINES:R UNABHÄNGIGEN
STIMMRECHTSVERTRETERS:IN UND DAS DABEI EINZUHALTENDE VERFAHREN

Als besonderer Service steht den Aktionär:innen ein Vertreter vom
Interessenverband für Anleger, IVA, 1130 Wien, Feldmühlgasse 22, als
unabhängiger Stimmrechtsvertreter für die weisungsgebundene
Stimmrechtsausübung in der Hauptversammlung zur Verfügung, dessen Kosten
die Gesellschaft trägt. Seitens IVA ist derzeit vorgesehen, dass Florian
Beckermann, Vorstandsmitglied des IVA, bei der Hauptversammlung diese
Aktionär:innen vertreten wird.

Für die Bevollmächtigung ist auf der Internetseite der Gesellschaft unter
www.voestalpine.com ein spezielles Vollmachtsformular abrufbar, welches
der Gesellschaft ausschließlich an einer der oben (siehe Punkt IV.
MÖGLICHKEIT ZUR BESTELLUNG EINES:R VERTRETERS:IN UND DAS DABEI
EINZUHALTENDE VERFAHREN) genannten Adressen (Telefax, E-Mail, Post oder
Bot:in) für die Übermittlung von Vollmachten zugehen muss. Darüber hinaus
besteht die Möglichkeit einer direkten Kontaktaufnahme:

Die Vollmachten müssen spätestens bis 30. Juni 2026, 16:00 Uhr (MESZ,
Wiener Zeit) bei einer der oben oder in Punkt IV. (= MÖGLICHKEIT ZUR
BESTELLUNG EINES:R VERTRETERS:IN UND DAS DABEI EINZUHALTENDE VERFAHREN)
genannten Adressen eingehen, sofern sie nicht am Tag der Hauptversammlung
an der Ein- und Ausgangskontrolle der Hauptversammlung übergeben werden.

Die:Der Aktionär:in hat dem Stimmrechtsvertreter Weisungen zu erteilen,
wie dieser (oder allenfalls ein:e von ihm bevollmächtigte:r
Subvertreter:in) das Stimmrecht auszuüben hat. Der unabhängige
Stimmrechtsvertreter übt das Stimmrecht ausschließlich auf der Grundlage
und innerhalb der Grenzen der von der:dem Aktionär:in erteilten
Stimmrechtsweisungen zu den einzelnen Tagesordnungspunkten aus. Ohne
ausdrückliche Weisungen ist nicht sichergestellt, dass der
Stimmrechtsvertreter ein Stimmrecht ausüben kann. Bitte beachten Sie, dass
der Stimmrechtsvertreter keine Aufträge zu Wortmeldungen, zur Erhebung von
Widersprüchen gegen Hauptversammlungsbeschlüsse oder zum Stellen von
Fragen oder von Anträgen entgegennimmt.

Aktionär:innen können auch nach Widerruf der Vollmachtserteilung die
Rechte in der Hauptversammlung persönlich wahrnehmen. Persönliches
Erscheinen gilt als Widerruf einer vorher erteilten Vollmacht.

Die vorstehenden Vorschriften über die Erteilung der Vollmacht gelten
sinngemäß für den Widerruf der Vollmacht.

 

VI. HINWEISE AUF DIE RECHTE DER AKTIONÄR:INNEN NACH DEN §§ 109, 110, 118
UND 119 AKTG

 1. Ergänzung der Tagesordnung durch Aktionär:innen nach § 109 AktG

Aktionär:innen, deren Anteile zusammen 5 % des Grundkapitals erreichen und
die seit mindestens drei Monaten vor Antragstellung Inhaber:innen dieser
Aktien sind, können schriftlich verlangen, dass zusätzliche Punkte auf die
Tagesordnung dieser Hauptversammlung gesetzt und bekannt gemacht werden,
wenn dieses Verlangen in Schriftform per Post oder Bot:in spätestens am
10. Juni 2026 (24:00 Uhr, MESZ, Wiener Zeit) der Gesellschaft
ausschließlich an die Adresse 4020 Linz, voestalpine-Straße 1, z.H. Dr.
Christian Kaufmann, Abteilung Recht, Beteiligungen und Compliance, oder,
wenn per E-Mail, mit qualifizierter elektronischer Signatur an die
E-Mail-Adresse [11]christian.kaufmann@voestalpine.com oder per SWIFT an
die Adresse CPTGDE5WXXX zugeht. „Schriftlich“ bedeutet eigenhändige
Unterfertigung oder firmenmäßige Zeichnung durch jede:n Antragsteller:in
oder, wenn per E-Mail, mit qualifizierter elektronischer Signatur oder,
bei Übermittlung per SWIFT, mit Message Type MT598 oder Type MT599, wobei
unbedingt ISIN AT0000937503 im Text anzugeben ist.

Jedem so beantragten Tagesordnungspunkt muss ein Beschlussvorschlag samt
Begründung beiliegen. Der Tagesordnungspunkt und der Beschlussvorschlag,
nicht aber dessen Begründung, müssen jedenfalls auch in deutscher Sprache
abgefasst sein, wobei im Fall eines Widerspruchs zwischen dem deutschen
und dem anderssprachigen Text der deutsche Text vorgeht. Die
Aktionär:inneneigenschaft ist durch die Vorlage einer Depotbestätigung
gemäß § 10a AktG nachzuweisen, in der bestätigt wird, dass die
antragstellenden Aktionär:innen seit mindestens drei Monaten vor
Antragstellung Inhaber:innen der Aktien sind und die zum Zeitpunkt der
Vorlage bei der Gesellschaft nicht älter als sieben Tage sein darf.
Mehrere Depotbestätigungen über Aktien, die nur zusammen das
Beteiligungsausmaß von 5 % vermitteln, müssen sich auf denselben Zeitpunkt
(Tag, Uhrzeit) beziehen.

Hinsichtlich der übrigen Anforderungen an die Depotbestätigung wird auf
die Ausführungen zur Teilnahmeberechtigung (Punkt III.) verwiesen.

 2. Beschlussvorschläge von Aktionär:innen zur Tagesordnung nach
§ 110 AktG

Aktionär:innen, deren Anteile zusammen 1 % des Grundkapitals erreichen,
können zu jedem Punkt der Tagesordnung in Textform Vorschläge zur
Beschlussfassung samt Begründung übermitteln und verlangen, dass diese
Vorschläge zusammen mit den Namen der betreffenden Aktionär:innen, der
anzuschließenden Begründung und einer allfälligen Stellungnahme des
Vorstands oder des Aufsichtsrats auf der im Firmenbuch eingetragenen
Internetseite der Gesellschaft zugänglich gemacht werden, wenn dieses
Verlangen in Textform spätestens am 22. Juni 2026 (24:00 Uhr, MESZ, Wiener
Zeit) der Gesellschaft entweder per Telefax an +43 (0) 50304 15 5872 oder
per Post oder Bot:in an 4020 Linz, voestalpine-Straße 1, z.H.
Dr. Christian Kaufmann, Abteilung Recht, Beteiligungen und Compliance,
oder per E-Mail an [12]christian.kaufmann@voestalpine.com, wobei das
Verlangen in Textform, beispielsweise als PDF, dem E-Mail anzuschließen
ist, zugeht. Sofern für Erklärungen die Textform im Sinne des
§ 13 Abs 2 AktG vorgeschrieben ist, so muss die Erklärung in einer Urkunde
oder auf eine andere zur dauerhaften Wiedergabe in Schriftzeichen
geeignete Weise abgegeben, die Person der:des Erklärenden genannt und der
Abschluss der Erklärung durch Nachbildung der Namensunterschrift oder
anders erkennbar gemacht werden. Der Beschlussvorschlag, nicht aber dessen
Begründung, muss jedenfalls auch in deutscher Sprache abgefasst sein,
wobei im Fall eines Widerspruchs zwischen dem deutschen und dem
anderssprachigen Text der deutsche Text vorgeht.

Die Aktionär:inneneigenschaft ist durch die Vorlage einer Depotbestätigung
gemäß § 10a AktG, die zum Zeitpunkt der Vorlage bei der Gesellschaft nicht
älter als sieben Tage sein darf, nachzuweisen. Mehrere Depotbestätigungen

 3. Auskunftsrecht der Aktionär:innen nach § 118 AktG

Jeder:m Aktionär:in ist auf Verlangen in der Hauptversammlung Auskunft
über Angelegenheiten der Gesellschaft zu geben, soweit sie zur sachgemäßen
Beurteilung eines Tagesordnungspunktes erforderlich ist. Die
Auskunftspflicht erstreckt sich auch auf die rechtlichen Beziehungen der
Gesellschaft zu einem verbundenen Unternehmen sowie auf die Lage des
Konzerns und der in den Konzernabschluss einbezogenen Unternehmen.

Die Auskunft darf verweigert werden, soweit sie nach vernünftiger
unternehmerischer Beurteilung geeignet ist, dem Unternehmen oder einem
verbundenen Unternehmen einen erheblichen Nachteil zuzufügen, oder ihre
Erteilung strafbar wäre. Die Auskunft darf auch verweigert werden, soweit
sie auf der Internetseite der Gesellschaft in Form von Frage und Antwort
über mindestens sieben Tage vor Beginn der Hauptversammlung durchgehend
zugänglich war.

Der Vorsitzende der Hauptversammlung kann gemäß § 21 Abs 3 der Satzung im
Laufe der Hauptversammlung angemessene Beschränkungen der Redezeit, der
Fragezeit bzw. der Gesamtzeit für Redebeiträge und Fragen festlegen.

Für Auskunftsverlangen in der Hauptversammlung werden in der kommenden
Hauptversammlung Wortmeldeformulare zur Verfügung gestellt. Jede:r
Aktionär:in wird ersucht seine:ihre Fragen gut leserlich, schriftlich auf
dem Wortmeldeformular zu vermerken oder schriftlich vorbereitete Fragen
dem Wortmeldeformular anzuschließen und anzugeben, ob die Fragen selbst
vorgetragen oder verlesen werden sollen. Aktionäre:Aktionärinnen, die
Wortmeldeformulare abgegeben und angegeben haben, die Fragen selbst
vortragen zu wollen, werden im Rahmen der Generaldebatte aufgerufen und
können die Fragen jeweils über das aufgestellte Saalmikrophon vortragen.
Die übrigen Fragen werden verlesen.

Bitte beachten Sie, dass dafür während der Hauptversammlung von dem
Vorsitzenden angemessene zeitliche Beschränkungen festgelegt werden
können.

Fragen, deren Beantwortung einer längeren Vorbereitung bedarf, mögen zur
Wahrung der Sitzungsökonomie zeitgerecht vor der Hauptversammlung in
Textform an den Vorstand gestellt werden. Derartige Fragen können an die
Gesellschaft per Post oder Bot:in an 4020 Linz, voestalpine-Straße 1,
Abteilung Investor Relations, z.H. DI (FH) Peter Fleischer, per E-Mail an
[13]IR@voestalpine.com übermittelt werden.

 4. Anträge von Aktionär:innen in der Hauptversammlung nach § 119 AktG

Jede:r Aktionär:in ist – unabhängig von einem bestimmten Anteilsbesitz –
berechtigt, in der Hauptversammlung zu jedem Punkt der Tagesordnung
Anträge zu stellen. Liegen zu einem Punkt der Tagesordnung mehrere Anträge
vor, so bestimmt gemäß § 119 Abs 3 AktG der Vorsitzende die Reihenfolge
der Abstimmung.

 

VII. WEITERE ANGABEN UND HINWEISE

 1. Gesamtzahl der Aktien und Stimmrechte

Zum Zeitpunkt der Einberufung der Hauptversammlung beträgt das
Grundkapital der Gesellschaft EUR 324.391.840,99 und ist zerlegt in
178.549.163 auf Inhaber:innen lautende Stückaktien. Jede Aktie gewährt
eine Stimme. Die Gesellschaft hält 7.098.547 eigene Aktien. Auf eigene
Aktien stehen der Gesellschaft keine Rechte zu. 8.975 Aktien wurden gemäß
§ 67 Abs 2 iVm § 262 Abs 29 AktG für kraftlos erklärt, wovon 948 Aktien
noch nicht eingereicht und auf ein Wertpapierdepot gutgeschrieben wurden.
Die Gesamtzahl der stimmberechtigten Aktien beträgt demzufolge im
Zeitpunkt der Einberufung 171.449.668 Stückaktien. Es bestehen nicht
mehrere Aktiengattungen.

 2. Einlass und Registrierung

Um einen reibungslosen Ablauf der Eingangskontrolle zu ermöglichen, werden
die Aktionär:innen gebeten, sich rechtzeitig vor Beginn der
Hauptversammlung am Ort derselben einzufinden. Der Einlass zur Behebung
der Stimmkarten beginnt ab 9:00 Uhr (MESZ, Wiener Zeit).

 3. Teilweise Übertragung der Hauptversammlung im Internet

Es ist beabsichtigt, die Hauptversammlung bis zum Beginn der
Generaldebatte im Internet zu übertragen.

Alle Aktionär:innen der Gesellschaft sowie die interessierte
Öffentlichkeit können die Rede des Vorstandsvorsitzenden in der
Hauptversammlung am 1. Juli 2026 ab ca. 10:00 Uhr (MESZ, Wiener Zeit) live
im Internet unter [14]www.voestalpine.com verfolgen. Eine
darüberhinausgehende Bild- oder Tonübertragung der Hauptversammlung
erfolgt nicht.

 4. Datenschutz

Teilnahme an der Hauptversammlung zwingend erforderlich. Informationen zur

As part of its strategic realignment, KTM AG is strengthening its
Executive Board with another key appointment: Christof Lischka will assume
the position of Chief Technology and Product Officer (CTPO) of KTM AG as
of October 1, 2026.

He will take full responsibility for vehicle development, aiming to carry
the technological leadership of the KTM, Husqvarna and GasGas brands into
future generations of vehicles while also guiding the evolution of the
product portfolio and ensuring the highest standards of product quality.

Christof Lischka brings more than 25 years of experience in vehicle
development. Within the BMW Group, he held leadership roles in chassis
development, vehicle dynamics, braking systems, overall vehicle
integration, and development strategy. For the past six years, he has
served as Vice President Development at BMW Motorrad, leading the entire
motorcycle development division.

CEO Gottfried Neumeister stated: “Christof Lischka embodies what defines
our company: deep technical expertise, strategic vision, and a genuine
passion for motorcycles. He understands development from both a management
and a rider’s perspective, and this will shape his work at KTM. We are

Technical Expertise from a Rider’s Perspective

In addition to his technical expertise, Lischka brings a personal passion
to the table. The industry expert is an avid off-road rider and already
rides KTM – a clear indication of his commitment to the brand, even beyond
his future role. As a motocross and enduro rally racer, he has firsthand
experience with the demands placed on materials, chassis, vehicle
dynamics, ergonomics, and durability. His racing achievements include
competing in the Roof of Africa and the Abu Dhabi Desert Challenge, as
well as setting a high-altitude record on Nevado Ojos del Salado in Chile.

Im Zuge der strategischen Neuaufstellung verstärkt die KTM AG ihre
Führungsriege mit einer weiteren Schlüsselbesetzung: Christof Lischka
übernimmt ab 1. Oktober 2026 die Position des Chief Technology and Product
Officer (CTPO) der KTM AG.

Er wird zukünftig die Gesamtverantwortung für die Forschung- und
Fahrzeugentwicklung (F&E) übernehmen, und wird maßgeblich dazu beitragen,
die technologische Führungsrolle der Marken KTM, Husqvarna und GASGAS auch
für kommende Fahrzeuggenerationen nachhaltig zu sichern. Darüber hinaus
wird er die strategische Weiterentwicklung der Produktportfolios
vorantreiben und sicherstellen, dass höchste Qualitätsstandards konsequent
eingehalten und weiter ausgebaut werden.

Ein Karriereweg durch die gesamte Fahrzeugentwicklung

Christof Lischka bringt mehr als 25 Jahre Erfahrung in der
Fahrzeugentwicklung mit. Innerhalb der BMW Group verantwortete er
Führungsaufgaben in den Bereichen Fahrwerk, Fahrdynamik, Bremssysteme,
Gesamtfahrzeugintegration und Entwicklungsstrategie. In den vergangenen
sechs Jahren war er Vice President Development bei BMW Motorrad und hat
die gesamte Motorrad-Entwicklung geleitet.

CEO Gottfried Neumeister erklärt: „Christof Lischka vereint genau das, was

Technikverständnis aus der Fahrerperspektive

Neben seiner technischen Expertise bringt Lischka eine persönliche
Leidenschaft mit: Der Branchenexperte ist selbst passionierter
Offroad-Fahrer und fährt privat bereits seit vielen Jahren KTM – ein
klares Bekenntnis zur Marke auch abseits seiner zukünftigen Rolle. Als
Motocross- und Rallye-Racer kennt er die Anforderungen an Material,
Fahrdynamik, Ergonomie und Belastbarkeit aus eigener Erfahrung. Zu seinen
Rennsporterfolgen zählen die Roof of Africa, die Abu Dhabi Desert
Challenge sowie ein Höhenrekord am Nevado Ojos del Salado in Chile.

voestalpine achieved an overall positive result in the past business year
(April 1, 2025 to March 31, 2026). In an environment characterized by
significant uncertainties, the clear focus on quality, innovation, and
efficiency, together with the broad diversification across industries and
regions, once again proved to be a key strength of the Group.

The performance of the individual business segments showed a mixed
picture. Demand remained positive in the Railway Systems business segment
and high in aerospace, while the construction, mechanical engineering, and
consumer goods industries held steady at a low level. Demand for the Steel
Division’s products remained positive in the energy sector, and proved
robust in the automotive industry. However, the very subdued market
dynamics in automotive production, particularly in Europe, continued to
affect the Metal Forming Division’s Automotive Components business
segment. Warehouse technology once again proved to be a growth driver. The
50% US tariffs on steel in effect since June 4, 2025 had a noticeable
impact in the business year 2025/26, resulting in a negative impact on
earnings in the high double-digit million euro range.

“Our strategic course has once again proven to be highly resilient, and we
succeeded in significantly increasing key earnings figures as well as free
cash flow. Our focus remained on the consistent reorganization of
low-return business segments and on accelerating international growth
projects. We also reached some key milestones on our path towards steel
production with net zero CO2 emissions,” says Herbert Eibensteiner, CEO of
voestalpine AG.

Record orders in areas of processing
In the business year 2025/26, voestalpine recorded strong order levels in
key processing areas. In addition to record orders in aerospace and
warehouse technology, the Group further strengthened its position as the
global market leader in complete railway systems. Following voestalpine’s
recent project to equip the entire Koralmbahn railway line in Austria with
its high-tech products, leading international rail operators—including
Deutsche Bahn (DB) and Swiss Federal Railways (SBB)—are once again calling
on the Group’s expertise. The two orders, totaling EUR 500 million,
include the supply of rail and turnout systems as well as signaling
technology and monitoring applications.

The international aerospace sector also recently provided a strong
tailwind for voestalpine, with orders worth around EUR 1 billion secured
for the next five years. A large proportion of these orders was placed by
European aircraft manufacturer Airbus, and covers the entire spectrum of
services from high-performance materials and complex forged parts to a
comprehensive global logistics service.

voestalpine also won its largest order to date in the high-bay warehousing
segment, for the construction of a cutting-edge 40-meter-high logistics
hub in Istanbul.

Consistent implementation of reorganization measures
The measures already initiated in the 2024/25 business year to reorganize
those business units facing structural changes were consistently pursued.
As previously reported, voestalpine is restructuring the Automotive
Components segment in Germany with the aim of securing the Metal Forming
Division’s automotive supply business for the long term. The High
Performance Metals Division is concentrating its product portfolio on the
technologically demanding segment of high-performance materials. Following
the sale of Buderus Edelstahl in Wetzlar (Germany), worldwide site
consolidations, capacity adjustments at voestalpine BÖHLER Bleche in
Mürzzuschlag (Austria), and the sale of voestalpine BÖHLER Profil
(Austria), the division has now largely completed the process of
restructuring its portfolio. voestalpine Tubulars in Kindberg (Austria), a
company within the Metal Engineering Division, had to reduce production in
line with lower demand, primarily due to the heavy impact of the 50%
tariffs in the USA, its main sales market.

As part of the reorganization measures, it was also necessary to adjust
the workforce. Social plans were developed in close coordination with the
works councils of the affected companies, and where possible, employees
were offered opportunities at other sites.

greentec steel—electric arc furnaces to start up as planned in 2027
With greentec steel, voestalpine has a clear strategy which it is
implementing according to plan. An electric arc furnace (EAF) will go into
operation in both Linz and Donawitz in the first half of 2027. By 2029, up
to 30% of CO2 emissions can be saved compared to 2019, which equates to
almost 5% of Austria’s annual CO2 emissions, making greentec steel the
country’s largest climate protection program.

In the past business year, several key milestones were reached in the
project’s implementation. The halls for the EAFs were constructed at both
sites, and the structural prerequisites for the power and new raw material
supply were put in place. The core equipment will be delivered in the fall
of 2026. “We are currently building a new steel mill at each of the two
sites in the middle of heavily utilized production plants, which poses
major logistical challenges. The project, with an investment volume of
around EUR 1.5 billion, is on schedule. Approximately 60% of the total
investment volume was already invested by the end of the business year,”
says Herbert Eibensteiner.

Improved earnings and high free cash flow
Revenue in the business year 2025/26 fell by 4.3% year-on-year, from EUR
15.7 billion to EUR 15.1 billion. The operating result (EBITDA) rose to
EUR 1.5 billion (BY 2024/25: EUR 1.3 billion), with particularly striking
improvements in the two divisions that had launched comprehensive
restructuring measures in the prior year (High Performance Metals
Division, and Metal Forming Division). It should be noted in this context
that the previous year’s figures for these two divisions included negative
one-off effects. The voestalpine Group significantly increased its profit
from operations (EBIT) by 59%, from EUR 455 million to EUR 724 million.

Consolidated earnings before taxes rose significantly, to EUR 587 million
(previous year: EUR 271 million). Profit after tax improved markedly, to
EUR 424 million (previous year: EUR 179 million). The free cash flow of
EUR 537 million for the business year 2025/26 reflects the outstanding
performance of both the company and its employees.

voestalpine’s capital structure remains exceptionally stable, with a
further strengthened equity base. Despite extensive investing activities
related to greentec steel, net financial debt was reduced by 23.4% to EUR
1.3 billion as of March 31, 2026. Equity stood at EUR 7.8 billion as of
the reporting date. The gearing ratio (net financial debt as a percentage
of equity) improved to 16.2%, which is the lowest it has been since the
business year 2005/06.

On March 31, 2026, the number of employees in the voestalpine Group
worldwide amounted to around 48,800 (full-time equivalents) which is 1.8%
lower than in the previous year (49,700). The decline is primarily due to
reorganizations in the Production and Sales areas of the High Performance
Metals Division as well as in the Automotive Components business unit of
the Metal Forming Division.

Proposed dividend: EUR 0.75
Subject to the approval of the Annual General Meeting of voestalpine AG to
be held on July 1, 2026, a dividend of EUR 0.75 per share (previous year:
EUR 0.60) will be distributed to shareholders.

Outlook for the business year 2026/27
The geopolitical turmoil that characterized much of the 2025/26 business
year is also expected to have a significant impact on the upcoming 2026/27
business year. In addition to the as-yet-unresolved conflict in the Middle
East and its resulting effects on energy prices and inflation, the
economic and legal framework conditions between Europe and North America
have not yet stabilized.

The 2026/27 business year will therefore be significantly influenced by
developments beyond the company’s sphere of influence. However, the
management of voestalpine AG will continue to respond to changing
conditions carefully, consistently, and swiftly. The company’s broad
portfolio and consistently implemented strategy will support these
efforts.

Assuming a global economic environment comparable to that of the previous
year, the major market trends observed to date are also expected to
continue largely unchanged.

In the Steel Division, the general conditions have improved with the
introduction of the CBAM (Carbon Border Adjustment Mechanism) at the start
of the calendar year and the expected implementation of the European
Union’s post-safeguard measures by summer 2026 at the latest. Both the aim
of equal treatment regarding CO₂ costs and a balanced management of import
volumes will positively influence the European steel market and thus the
performance of the voestalpine Steel Division in the 2026/27 business
year. However, this is mitigated by delays to energy projects in the heavy
plate segment.

The extensive reorganization measures are expected to yield both
sustainable and one-time positive effects for the High Performance Metals
Division in the 2026/27 business year. From a market perspective, the
development should remain largely stable, with the Aerospace segment
continuing to perform well.

The Metal Engineering Division will continue to be significantly shaped by
the positive trend in the Railway Systems segment in the 2026/27 business
year. In the seamless tube business, we do not expect any significant
changes related to U.S. tariffs. Production levels have been adjusted to
meet demand. The performance of the remaining Division is expected to
remain largely stable in what remains a challenging environment.

The market outlook for the Metal Forming Division in the 2026/27 business
year is expected to vary by region, with only slight improvement expected
in the Tubes & Sections segment. Positive earnings effects are expected
from the reorganization measures at Automotive Components. The Warehouse &
Rack Solutions and Precision Strip business units are expected to continue
performing well.

Against this backdrop of persistently high geopolitical and economic
uncertainties, the continuation of existing market trends, and positive
effects from the implementation of internal measures, the Management Board
of voestalpine AG expects EBITDA for the 2026/27 business year to range
between EUR 1.60 and EUR 1.85 billion.

Die voestalpine erzielte im abgelaufenen Geschäftsjahr (1. April 2025 bis
31. März 2026) ein insgesamt gutes Ergebnis. Gerade in einem von großen
Unsicherheiten geprägten Umfeld erwiesen sich der klare Fokus auf
Qualität, Innovation und Effizienz sowie die breite Diversifizierung nach
Branchen und Regionen erneut als wesentliche Stärke des Konzerns.

Die Entwicklung der einzelnen Unternehmensbereiche zeigte ein
differenziertes Bild. Während die Nachfrage im Geschäftsbereich Railway
Systems unverändert positiv blieb und sich auch in der Luftfahrt die
anhaltend hohe Nachfrage fortsetzte, verharrten die Bau-, Maschinenbau-
und Konsumgüterindustrie stabil auf niedrigem Niveau. Im Energiebereich
blieb der Bedarf an Produkten der Steel Division positiv, auch die
Nachfrage aus der Automobilindustrie erwies sich in der Steel Division als
robust. Der Geschäftsbereich Automotive Components der Metal Forming
Division war hingegen weiterhin von der sehr verhaltenen Marktdynamik in
der Automobilproduktion, insbesondere in Europa, betroffen. Als
Wachstumstreiber erwies sich erneut die Lagertechnik. Spürbare
Auswirkungen hatten im Geschäftsjahr 2025/26 die seit 4. Juni 2025
geltenden US-Zölle in Höhe von 50 % auf Stahl, die zu einer
Ergebnisbelastung in Höhe eines hohen zweistelligen Millionen-EUR-Betrages
geführt haben.

„Unser strategischer Kurs hat sich zum wiederholten Male als sehr
tragfähig erwiesen und es ist uns gelungen, wichtige Ergebniskategorien
sowie den Free Cashflow deutlich zu steigern. Der Fokus lag weiterhin auf
der konsequenten Reorganisation renditeschwacher Geschäftsbereiche und auf
der Forcierung internationaler Wachstumsprojekte. Darüber hinaus konnten
wir zentrale Meilensteine auf unserem Weg zur Stahlproduktion mit
Net-Zero-CO2-Emissionen erreichen“, sagt Herbert Eibensteiner, CEO der
voestalpine AG.

Rekordaufträge in Bereichen der Weiterverarbeitung
Die voestalpine verzeichnete im Geschäftsjahr 2025/26 eine starke
Auftragslage in wichtigen Bereichen der Weiterverarbeitung. Neben
Rekordaufträgen in der Luftfahrt und Lagertechnik konnte der Konzern auch
seine weltweit führende Position als Systemanbieter von kompletten
Bahninfrastruktursystemen weiter stärken. Nachdem die voestalpine jüngst
die gesamte Koralmbahn in Österreich mit ihren hochtechnologischen
Produkten ausgestattet hat, setzen mit der Deutschen Bahn (DB) und den
Schweizerischen Bundesbahnen (SBB) einmal mehr führende internationale
Bahnbetreiber auf die Kompetenz des Konzerns. Die beiden Aufträge in Höhe
von 500 Mio. EUR umfassen dabei die Lieferung von Schienen- und
Weichensystemen bis hin zu Signaltechnik- und Überwachungsleistungen.

Kräftiger Rückenwind kam zuletzt auch aus der internationalen Luftfahrt.
Hier sicherte sich die voestalpine Aufträge im Wert von rund einer
Milliarde Euro für die nächsten fünf Jahre. Ein großer Teil davon wurde
mit dem europäischen Flugzeughersteller Airbus vereinbart und deckt das
gesamte Leistungsspektrum ab – von Hochleistungswerkstoffen über komplexe
Schmiedeteile bis hin zu einem umfangreichen globalen Logistikservice.

Im Bereich Hochregallagersysteme wurde zudem der bisher größte Auftrag –
die Errichtung eines modernen, 40 Meter hohen Logistik-Hubs in Istanbul –
gewonnen.

Konsequente Fortführung der Reorganisationsmaßnahmen
Die bereits im Geschäftsjahr 2024/25 gestarteten Maßnahmen zur
Reorganisation jener Geschäftsbereiche, die mit strukturellen
Veränderungen konfrontiert sind, wurden konsequent weitergeführt. Wie
berichtet, stellt die voestalpine den Bereich Automotive Components in
Deutschland neu auf. Ziel ist es, den Automobilzulieferbereich der Metal
Forming Division langfristig abzusichern. Die High Performance Metals
Division konzentriert ihr Produktportfolio auf das technologisch
anspruchsvolle Segment der Hochleistungswerkstoffe. Mit der Veräußerung
der Buderus Edelstahl in Wetzlar (Deutschland), weltweiten
Standortkonsolidierungen, Kapazitätsanpassungen der voestalpine BÖHLER
Bleche in Mürzzuschlag (Österreich) und dem Verkauf der voestalpine BÖHLER
Profil (Österreich) ist die Portfoliobereinigung innerhalb der Division
weitgehend abgeschlossen. Bei der voestalpine Tubulars in Kindberg
(Österreich), einer Gesellschaft der Metal Engineering Division, war
insbesondere aufgrund der erheblichen Belastungen durch die 50%-US-Zölle
im Hauptabsatzmarkt USA eine Anpassung der Produktion an die geringere
Nachfrage notwendig.

Im Zuge der Reorganisationsmaßnahmen musste auch der Personalstand
angepasst werden. In enger Abstimmung mit dem Betriebsrat der betroffenen
Gesellschaften wurden Sozialpläne erarbeitet und dort, wo es möglich war,
Mitarbeiter:innen Perspektiven an anderen Standorten angeboten.

greentec steel – Elektrolichtbogenöfen starten wie geplant 2027
Die voestalpine hat mit greentec steel eine klare Strategie und setzt
diese plangemäß um: Im ersten Halbjahr 2027 werden im ersten Schritt in
Linz und Donawitz je ein Elektrolichtbogenofen (EAF) in Betrieb gehen. Bis
2029 können dadurch bis zu 30 % der CO2-Emissionen gegenüber 2019
eingespart werden, dies entspricht fast 5 % der jährlichen CO2-Emissionen
Österreichs. Damit ist greentec steel das größte Klimaschutzprogramm in
Österreich.

Im vergangenen Geschäftsjahr konnten einige wichtige Meilensteine in der
Projektumsetzung erreicht werden: An beiden Standorten wurden die Hallen
für den EAF errichtet, ebenso wurden die baulichen Voraussetzungen für die
Strom- und neue Rohstoffversorgung geschaffen. Die Lieferung der
Kernaggregate erfolgt im Herbst 2026. „Wir errichten derzeit an beiden
Standorten je ein neues Stahlwerk inmitten hochausgelasteter
Produktionswerke, was größte logistische Herausforderungen mit sich
bringt. Das Projekt mit einem Investitionsvolumen von rund 1,5 Milliarden
Euro schreitet planmäßig voran. Mit Geschäftsjahresende waren vom gesamten
Investitionsvolumen bereits rund 60 Prozent umgesetzt“, sagt Herbert
Eibensteiner.

Verbesserte Ergebnisse und hoher Free Cashflow
Die Umsatzerlöse schwächten sich im Geschäftsjahr 2025/26 im Vergleich zum
Vorjahr um 4,3 % von 15,7 Mrd. EUR auf 15,1 Mrd. EUR ab. Das operative
Ergebnis (EBITDA) verbesserte sich auf 1,5 Mrd. EUR (1,3 Mrd. EUR im GJ
2024/25). Besonders markant fiel die Verbesserung beim operativen Ergebnis
in den beiden Bereichen aus, die im Vorjahr umfassende
Reorganisationsmaßnahmen auf den Weg gebracht haben (High Performance
Metals Division und Metal Forming Division). Hervorzuheben ist in diesem
Kontext, dass in diesen zwei Divisionen in den Vorjahreszahlen negative
Einmaleffekte enthalten waren. Der voestalpine-Konzern konnte das
Betriebsergebnis (EBIT) signifikant um 59 % von 455 Mio. EUR auf 724 Mio.
EUR ausweiten.

Das Konzernergebnis vor Steuern stieg deutlich auf 587 Mio. EUR (Vorjahr:
271 Mio. EUR). Das Ergebnis nach Steuern verbesserte sich markant auf 424
Mio. EUR (Vorjahr 179 Mio. EUR). Der Free Cashflow in Höhe von 537 Mio.
EUR für das GJ 2025/26 spiegelt die hervorragende Leistung des
Unternehmens und seiner Mitarbeiter:innen wider.

Die voestalpine verfügt weiterhin über eine ausgesprochen stabile
Bilanzstruktur mit erneut gestärkter Eigenkapitalbasis. Trotz der
umfangreichen Investitionstätigkeit in Verbindung mit greentec steel
konnte die Nettofinanzverschuldung um 23,4 % auf 1,3 Mrd. EUR per 31. März
2026 reduziert werden. Das Eigenkapital lag zum Bilanzstichtag bei 7,8
Mrd. EUR. Die Gearing Ratio (Nettofinanzverschuldung in % des
Eigenkapitals) verbesserte sich auf 16,2 %. Sie liegt damit auf dem
niedrigsten Stand seit dem Geschäftsjahr 2005/06.

Mit 31. März 2026 beschäftigte der voestalpine-Konzern weltweit rund
48.800 Mitarbeiter:innen (Vollzeitäquivalente), das sind um 1,8 % weniger
als im Vorjahr (49.700). Der Rückgang resultiert im Wesentlichen aus den
Reorganisationsmaßnahmen in Produktions- und Vertriebsbereichen der High
Performance Metals Division sowie im Geschäftsbereich Automotive
Components der Metal Forming Division.

Dividendenvorschlag: 0,75 Euro
Vorbehaltlich der Zustimmung der am 1. Juli 2026 stattfindenden
Hauptversammlung der voestalpine AG wird an die Aktionär:innen eine
Dividende je Aktie von 0,75 EUR (Vorjahr: 0,60 EUR) ausgeschüttet.

Ausblick Geschäftsjahr 2026/27
Die geopolitischen Turbulenzen, welche weite Strecken des abgelaufenen
Geschäftsjahres 2025/26 geprägt haben, werden aus heutiger Sicht auch das
kommende Geschäftsjahr 2026/27 wesentlich beeinflussen. Neben dem bis dato
ungelösten Konflikt im Nahen Osten mit den daraus folgenden Effekten auf
Energiepreise und Inflation, haben auch die wirtschaftlich-rechtlichen
Rahmenbedingungen zwischen Europa und Nordamerika keinen stabilen und
verlässlichen Zustand erreicht.

Das Geschäftsjahr 2026/27 wird demnach wesentlich von Entwicklungen
außerhalb der Einflusssphäre des Unternehmens beeinflusst werden. Das
Management der voestalpine AG wird aber wie bisher sorgfältig, konsequent
und rasch auf sich verändernde Rahmenbedingungen reagieren. Die breite
Aufstellung und die konsequent verfolgte Strategie wirken dabei
unterstützend.

Aus heutiger Sicht werden sich in einem weltwirtschaftlichen Umfeld, das
mit jenem des Vorjahres vergleichbar ist, auch die wesentlichen bisherigen
Markttrends weitgehend fortsetzen.

In der Steel Division haben sich die Rahmenbedingungen mit der Einführung
von CBAM (Carbon Border Adjustment Mechanism) zu Beginn des Kalenderjahres
und die erwartete Umsetzung der Post-Safeguard-Maßnahmen der Europäischen
Union bis spätestens Sommer 2026 zum Positiven verändert. Sowohl die
angestrebte Gleichbehandlung hinsichtlich CO2-Kosten als auch eine
ausbalancierte Steuerung von Importmengen werden den europäischen
Stahlmarkt und damit die Entwicklung der voestalpine Steel Division im
Geschäftsjahr 2026/27 positiv beeinflussen. Dagegen wirken allerdings
verschobene Energie-Projekte im Bereich Grobblech.

Aus den umfangreichen Reorganisationsmaßnahmen werden für die High
Performance Metals Division für das Geschäftsjahr 2026/27 sowohl
nachhaltige als auch einmalige positive Effekte erwartet. Auf Marktseite
sollte die Entwicklung weitgehend stabil verlaufen, der Bereich Aerospace
weiter gut performen.

Die Metal Engineering Division wird im Geschäftsjahr 2026/27 weiterhin
maßgeblich vom positiven Trend im Bereich Railway Systems geprägt sein. Im
Geschäft mit Nahtlosrohren erwarten wir keine wesentlichen Veränderungen
im Zusammenhang mit US-Zöllen. Die Produktionsfahrweise wurde an die
Nachfrage angepasst. Die Entwicklung der restlichen Division wird in einem
weiterhin herausfordernden Umfeld insgesamt weitgehend stabil erwartet.

Die Marktentwicklung der Metal Forming Division für das Geschäftsjahr
2026/27 wird im Bereich Tubes & Sections regional unterschiedlich und nur
leicht verbessert eingeschätzt. Positive Ergebniseffekte werden aus den
Reorganisationsmaßnahmen bei Automotive Components erwartet. Die
Geschäftsbereiche Warehouse & Rack Solutions und Precision Strip werden
weiter gut performen.

Vor diesem Hintergrund anhaltend hoher geo- und wirtschaftspolitischer
Unsicherheiten, des Fortlaufens bestehender Markttrends sowie positiver
Effekte aus der Umsetzung interner Maßnahmen, erwartet der Vorstand der
voestalpine AG für das Geschäftsjahr 2026/27 ein EBITDA in einer
Bandbreite von 1,60 bis 1,85 Milliarden Euro.
