Schüttorf, 10.07.2027 – Die FIT GROUP AG befindet sich in
fortgeschrittenen Vertragsverhandlungen mit der EURES GmbH mit Sitz in
Filderstadt über den Abschluss einer strategischen
Distributionspartnerschaft. Ziel der geplanten Zusammenarbeit ist der
Vertrieb des Supplement-Portfolios der FIT GROUP AG sowie der
innovativen FITGUN-Produktfamilie über bestehende nationale und
internationale Handelsstrukturen. Die Parteien streben einen zeitnahen
Abschluss der Vertragsverhandlungen an.

Mit der EURES GmbH würde die FIT GROUP AG einen erfahrenen Distributions-
und Handelspartner gewinnen, der seit vielen Jahren Handelsunternehmen und
Fachmärkte mit Produkten unterschiedlichster Kategorien beliefert. Die
EURES GmbH verfügt über etablierte Vertriebs- und Logistikstrukturen sowie

Federal Ministry for Research, Technology and Space

• €850,000 in federal funding for a research project under the

• Goal is to develop an AI-powered platform for the automated quality
assessment of living larvae for the REPLOID breeding program

 

WELS, Austria – July 10, 2026 – REPLOID Group AG („REPLOID“) has been
awarded funding by the German Federal Ministry of Research, Technology and
Space (BMFTR) under the KMU-innovativ initiative. The research and
development project „Opti2Fly“ has a total project volume of €1.1 million,
with the federal government supporting the planned research activities
with €850,000.

REPLOID offers an innovative system for the industrial processing of
regional organic residues from the food industry – using larvae of the
Black Soldier Fly. These residues are converted into valuable raw
materials, including proteins, high-quality fats, and organic fertilizer.

Research and development is a cornerstone of REPLOID’s business model. At
the Global Innovation Center in Leipzig (Germany) an interdisciplinary
team continuously works to improve the Black Soldier Fly’s bioconversion
process – from feed formulations and high-performance larval strains to
marketable end products.

The research project „Opti2Fly“ is a prime example of REPLOID’s sustained
investment in its own research capabilities. The project centers on
developing an innovative analytics platform that combines state-of-the-art
measurement technology with artificial intelligence methods. The goal is
to capture key quality and performance characteristics of living larvae.
The findings will directly advance the REPLOID breeding program and
further optimize the overall bioconversion process.

REPLOID leads the research consortium alongside renowned partners,
including TU Dresden, which provides validated reference measurements and
the Max Planck Institute for Evolutionary Biology, which is responsible
for the biological characterization of the breeding material.

The project results are expected to feed directly into REPLOID’s
production operations in the medium term, further strengthening the
company’s position as a leading technology provider in insect farming.

The company builds and services modular and scalable insect-rearing plants
for its customers – the REPLOID ReFarmUnits. In these plants, young Black
Soldier Fly larvae supplied by the company receive a site-specific feed

After rearing, customers either use the larvae and/or their by-products

Wels, 10. Juli 2026 – Die REPLOID Group AG („REPLOID“) hat im Rahmen der
Förderinitiative KMU-innovativ eine Förderzusage des deutschen
Bundesministeriums für Forschung, Technologie und Raumfahrt (BMFTR)
erhalten. Das Forschungs- & Entwicklungsprojekt „Opti2Fly“ wird mit einem
Gesamtvolumen von € 1,1 Mio. umgesetzt; der Bund fördert die geplanten
Forschungsarbeiten mit € 850.000.

REPLOID bietet ein innovatives System zur industriellen Verwertung
regionaler organischer Reststoffe aus der Lebensmittelindustrie – mithilfe
von Larven der Schwarzen Soldatenfliege. Aus den Reststoffen werden
wertvolle Rohstoffe wie Proteine, hochwertige Fette und organischer
Dünger.

Ein zentraler Erfolgsfaktor des REPLOID-Geschäftsmodells ist die Forschung
und Entwicklung. Im Global Innovation Center in Leipzig arbeitet ein
interdisziplinäres Team daran, den Biokonversionsprozess der Schwarzen
Soldatenfliege kontinuierlich zu verbessern – von der Futterrezeptur über
leistungsstarke Larvenstämme bis hin zu marktfähigen Endprodukten.

Das Forschungsprojekt „Opti2Fly“ ist ein Beispiel für REPLOIDs konsequente
Investition in die eigene Forschungsbasis. Im Mittelpunkt des Projekts
steht die Entwicklung einer innovativen Analyseplattform, die modernste
Analysetechnologie mit Methoden der künstlichen Intelligenz kombiniert.
Ziel ist es, relevante Qualitäts- und Leistungsmerkmale von Larven zu
erfassen. Die Ergebnisse sollen das REPLOID-Zuchtprogramm gezielt
voranbringen und so den gesamten Biokonversionsprozess weiter optimieren.

REPLOID leitet ein Forschungskonsortium gemeinsam mit renommierten
Partnern. Darunter die TU Dresden, die validierte Referenzmessungen
liefert und das Max-Planck-Institut für Evolutionsbiologie, das die
biologische Charakterisierung des Zuchtmaterials verantwortet.

Die Projektergebnisse sollen mittelfristig direkt in REPLOIDs Produktion
einfließen und die Position des Unternehmens als technologisch führendes
Unternehmen in der Insektenzucht weiter stärken.

Das Unternehmen errichtet und serviciert für seine Kunden modulare und
skalierbare Mastanlagen für Insekten – die REPLOID ReFarmUnits. Dort
erhalten vom Unternehmen gelieferte Junglarven der Schwarzen
Soldatenfliege eine auf den jeweiligen Standort abgestimmte
Futtermischung. Diese wird auf Basis eigener Forschung und Entwicklung aus
Reststoffen der regionalen Lebensmittel-Wertschöpfungskette
zusammengestellt. Nach erfolgter Mast nutzen die Kunden entweder die
Larven und/oder ihre Nebenprodukte selbst oder REPLOID übernimmt sie zur
zentralen Vermarktung oder Weiterverarbeitung.

REPLOID verkauft die Mastlarven entweder direkt oder weiterverarbeitet zu
Proteinen und Fetten zum Beispiel an Abnehmer aus der
Tierfuttermittelindustrie. Aus den Nebenprodukten der Insektenmast
(Insektenfrass) stellt das Unternehmen organischen Premiumdünger her.

Mit dezentralem Upcycling im industriellen Maßstab bietet REPLOID auch
eine ökonomisch attraktive Lösung für die Kreislaufwirtschaft.
Lebensmittelreststoffe und ungenutzte Lebensmittel werden effizient
verwertet, was zentrale Ressourcen nachhaltig schont.

Die REPLOID Group AG wurde im Jahr 2020 gegründet und hat ihren Sitz in

 Publication of a resolution of the Annual General Meeting pursuant to
Section 119 Para 9 Austrian Stock Exchange Act in connection with Section
3 Para 1 Austrian Publication Regulation 2018

 

The ordinary Annual General Meeting of AT & S Austria Technologie &
Systemtechnik Aktiengesellschaft held on July 9, 2026 adopted the
following resolution in relation to the tenth (10) item of the agenda
(Resolution on the authorization of the Management Board to utilize the
Company’s treasury stock or dispose of it also by other means than via the
stock exchange or a public offering for any legally permissible purpose
and to also exclude the general purchasing possibility of the shareholders
(„exclusion of subscription rights“)).

 

The Management Board was authorized, according to Section 65 (1b) Stock
Corporation Act for a period of five years from the adoption of the
resolution, therefore, until and including July 8, 2031, with the consent
of the Supervisory Board and without a further resolution by the General
Meeting, to dispose of or utilize stock repurchased or already held by the
Company also in other ways than via the stock exchange or through public
offering, in particular

 

 a. to grant treasury shares to employees, senior employees and/or members
of the Company’s Management Board or the management boards of its
affiliates including for purposes of share transfer programs, in
particular stock options, long term incentive plans or other stock
ownership plans,
 b. to deliver treasury shares under convertible bonds issued by the
Company,
 c. as consideration for the acquisition of businesses, equity interests
or other assets, and
 d. for any other legally permissible purpose,

 

and to exclude the general purchasing possibility of the shareholders
(exclusion of subscription rights). This authorization may be exercised in
total or partially and also in several tranches and for several purposes.

 Veröffentlichung eines Hauptversammlungsbeschlusses gemäß § 119 Abs
9 BörseG iVm § 3 Abs 1 Veröffentlichungsverordnung 2018

 

In der ordentlichen Hauptversammlung der AT & S Austria Technologie &
Systemtechnik Aktiengesellschaft am 9. Juli 2026 wurde zu Punkt 10. der
Tagesordnung (Beschlussfassung über die Ermächtigung des Vorstands zur
Verwendung und Veräußerung eigener Aktien auch auf andere Art und Weise
als über die Börse oder durch ein öffentliches Angebot zu jedem gesetzlich
zulässigen Zweck auch unter Ausschluss der allgemeinen Kaufmöglichkeit der
Aktionäre („Bezugsrechtsausschluss“)) folgender Beschluss gefasst:

 

Der Vorstand wurde gemäß § 65 Abs 1b AktG für die Dauer von fünf Jahren ab
Beschlussfassung, sohin bis einschließlich 8. Juli 2031, ermächtigt, mit
Zustimmung des Aufsichtsrats und ohne weiteren Beschluss der
Hauptversammlung eigene Aktien nach erfolgtem Rückerwerb sowie die bereits
derzeit im Bestand der Gesellschaft befindlichen eigenen Aktien der
Gesellschaft auch auf andere Art als über die Börse oder durch ein

und hierbei die allgemeine Kaufmöglichkeit der Aktionäre auszuschließen,
wobei die Ermächtigung ganz oder teilweise und auch in mehreren Teilen und

Results of the AT&S Annual General Meeting
 

Leoben – At today’s 32^nd Annual General Meeting of AT & S Austria
Technologie und Systemtechnik Aktiengesellschaft (AT&S), it was resolved
not to distribute a dividend for the financial year 2025/26. Deloitte
Audit Wirtschaftsprüfungs GmbH was appointed as the auditor for the annual
and consolidated financial statements for the financial year 2026/27.

 

All other agenda items presented for resolution were also approved by the
shareholders present at the Annual General Meeting. The detailed results
