At the beginning of June 2025, REPLOID Group AG („REPLOID“) signed a
non-binding memorandum of understanding („MoU“) with PreZero Stiftung &
Co. KG („PreZero“) and its subsidiary („GreenCycle“) regarding a potential
future cooperation in the field of insect larvae processing and the
development and distribution of insect-based products. Based on the key
points set out in the MoU and following further constructive discussions,
REPLOID and PreZero have agreed to examine the cooperation in greater
depth, namely:

• Support in the planning, construction and implementation of an insect
farming facility in Buchen (Baden-Württemberg) for the utilisation of
food waste. The insect farming facility and a suitable processing
plant are to be built by the end of 2026.
• Cooperation on the construction and operation of a processing plant
for insect larvae and fertilisers, as well as for the distribution of
raw materials derived from insects. A joint market presence (own
brand) is planned.

PreZero Stiftung & Co. KG and GreenCycle GmbH are part of the
internationally active Schwarz Group, one of the largest trading companies
in the world. PreZero Stiftung & Co. KG and GreenCycle GmbH specialise in
recycling and waste management and see considerable potential in the
utilisation of food waste by insects and the development of sustainable
solutions in recycling and energy management.
